How to build a data room before hiring an M&A advisor?
Build a data room before hiring an M&A advisor by gathering the file months ahead, first in a shared drive. Move into a gated room once the first outsider is in: counsel, a lender, or an inbound buyer. Keep a one-page index of in the room, missing, not applicable, or needs redaction.
The advisor may later move the file into their own VDR. Have counsel review.
Pre-advisor sale data room (definition). Gather the sale file months ahead, first in a shared drive.

The advisor may later move the file into their own VDR. A Drive dump with no index is not this room.
Drive first, then a room, then the advisor’s VDR
Orrick’s UK Tech Exit Series note on preparing a data room (Katie Cotton, 14 August 2024, retrieved 2026-10-02) says set the room up early, grant access in two stages, and structure folders to a buyer’s question list when you have one. It prefers a professionally hosted site to Google Drive for indexing, Q&A, and access control. SMB.co’s due-diligence playbook (Brit Karel, 3 May 2026, retrieved 2026-10-02) says a shared Google Drive or Dropbox folder feels easier on day one and leaks information you cannot get back by week three. Stage the release: customer names and salary detail wait. The files that go in are an exit readiness checklist for a business owner. When an advisor is later hired, they write the CIM and the buyer list from this file; the index they will run is what should be in a sell-side data room index. Room choice at sale time is the best data room for a small business sale. When Drive stops being enough is when you need a data room instead of Google Drive, Dropbox or Box.
| Gate | Where the file lives | Who is in | What it adds |
|---|---|---|---|
| Assemble | Google Drive or SharePoint, the folders already there | The owner, and a CFO or CPA who already has access | Nothing a room adds yet. The files are already there. |
| First outsider | A gated room with a one-page index | The CFO, counsel, or an inbound buyer under an NDA | The buyer's list as a checklist, a readiness count, and a flag when figures disagree |
| Live sale | The advisor's own VDR, if they run one | Bidders and their counsel, on the advisor's process | The CIM, the buyer list, and the auction. Keep one live room so versions do not drift. |
Valutico’s sell-side due diligence guide (Alex Harris, 5 September 2025, last updated August 2026, retrieved 2026-10-02) puts every key file in one organized data room and keeps a master index. CLA’s sell-side quality of earnings note (Craig Arends, retrieved 2026-10-02) organizes the data room before the LOI. A sell-side QoE is a separate engagement above a size threshold. Ask your CPA. This page does not price that work.
What the room adds, and what Drive still wins
A shared drive wins the assemble job: free, the files are already there, the CFO already has access. The room starts to matter once someone outside the company is in. Numbers that disagree across documents - revenue in the customer file against the income statement against the tax return - are the expensive miss. A conflicts check flags those figures. Flagging is not proving. Ask your CPA. How a CFO works in the same workspace is how to work with a fractional CFO to get your company ready for a sale.
| Control | What it does | How it fails |
|---|---|---|
| Shared drive, assembling | The files stay where they already live. The CFO already has access. | The first outsider is in, and the folder is forwarded down a chain. |
| Buyer's list as the checklist | Upload a request list. The room turns it into requirements, numbering kept. Files match with a confidence the owner confirms. | A Drive dump with no index, or a second copy emailed to a favourite. |
| Readiness ring | Matched against open, per section. A count of files, not a score of the business. | Treating a full folder as a finished packet. |
| Conflicts check | Flags figures that disagree across documents. | Cash, P&L and tax that no one tied. Flagging is not proving. |
Orrick says review corporate and financial documents for accuracy and consistency before a buyer does. Have counsel review. See What is Cashpian?, and pricing.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
