What is an exit readiness checklist for a business owner?
An exit readiness checklist for a business owner is the evidence file behind a sale: what a buyer will ask you to prove, and which document proves it. Years of work on the business, months on the documents. Buyers look back three to five years. The buyer’s own request list controls.

Exit readiness checklist (definition). The numbered evidence file behind one company sale.
It names what to prove and which document proves it, before an advisor writes a CIM.
A score of the business, or a Drive dump with no index, is not this checklist.
The index, sourced, not a score
SMB.co’s playbook for preparing a client for due diligence (Brit Karel, 3 May 2026, retrieved 2026-10-02) starts the document gather six to twelve months before the owner thinks they want to sell, and puts three to five years of P&L, balance sheet and cash flow, tax returns matching the same period, trailing-twelve-month monthly figures, and a clean add-back schedule in the file. CLA’s note on a sell-side quality of earnings (Craig Arends, retrieved 2026-10-02) organizes the data room before the LOI with three to five years of financials, tax returns, customers and contracts, and treats a sell-side QoE as a separate engagement in the twelve to twenty-four months before sale. Ask your CPA. This page does not price that work. Valutico’s sell-side due diligence checklist (Alex Harris, 5 September 2025, last updated August 2026, retrieved 2026-10-02) groups the room as company story, numbers, customers, contracts, people, product, legal and taxes. The advisor’s later version of this index is what should be in a sell-side data room index. How to hold the file before a banker is hired is how to build a data room before hiring an M&A advisor. Working with a CFO on the same file is how to work with a fractional CFO to get your company ready for a sale.
| Put this | Why it is in the index | Where the norm is written |
|---|---|---|
| Three to five years of P&L, balance sheet and cash flow | The earnings the price is built on, year by year. | SMB.co, 3 May 2026: three to five years of financials |
| Tax returns matching the same period | Buyers tie tax to the P&L. A gap is a negotiating lever. | SMB.co: tax returns matching the same period |
| Trailing twelve months on a monthly basis | SMB.co puts TTM monthly figures in the file the buyer will open. | SMB.co: trailing twelve months, monthly |
| A clean add-back schedule with support | Undocumented add-backs are how adjusted EBITDA gets cut. | CLA: aggressive or undocumented add-backs |
| Top customers with revenue for three years | Concentration and change-of-control sit in the customer file. | SMB.co: top customer list for the last three years |
| Contracts and assignment clauses | A customer who can walk on a sale changes the price. | CLA: contract non-assignability |
| Corporate records, cap table, licenses | Who owns what, and what entity conveys. | BWFA, 31 March 2016: corporate documents and stock books |
| Org chart, agreements, who stays | Owner dependence is a diligence finding of its own. | Maus, 4 September 2025: the 30-day owner test |
Years for the business, months for the documents
Exit Planning Institute’s Value Acceleration Methodology (retrieved 2026-10-02) is the scoring and planning incumbent: Discover, Prepare and Decide, in 90-day sprints, with a Certified Exit Planning Advisor. That work scores the business and the owner. The room holds the evidence. It does not score the business. Maus’s 15 exit-readiness checks (Shaun Savvy, 4 September 2025, retrieved 2026-10-02) maps a three-, five- or ten-year exit timeline, and tells owners to work with a CPA and attorney on tax. | Horizon | What happens | Who says so |
|---|---|---|
| Years on the business | Owner dependence, customer mix, monthly close, and a management bench that can run without the owner. | Maus: 3-, 5- or 10-year timeline; 30-day owner test |
| Twelve to twenty-four months before sale | CLA puts pre-market work here, including a sell-side QoE above a size threshold. Ask your CPA. | CLA: pre-market preparation, 12-24 months |
| Six to twelve months on the documents | Start the gather. Build the folder. One bucket a week. | SMB.co, 3 May 2026: six to twelve months before they think they want to sell |
| Before the LOI | Compile the majority of the request list so diligence is not a scavenger hunt. | BWFA, 31 March 2016: compile before the LOI; 30-60 days of diligence after it |
CLA quotes a customer-concentration threshold of more than 20-25% of revenue from a single customer or a small group. Maus writes that no single client should represent more than 15% of total revenue. Quote the firm you are using. Do not average them. Ask your advisor. Numbers that disagree across documents - revenue in the customer file against the income statement against the tax return - are the expensive miss. SMB.co tells the CPA or fractional CFO to tie cash to the P&L and the P&L to tax before a buyer asks. A conflicts check flags figures that disagree. Flagging is not proving. Ask your CPA.
The owner uploads a request list. The room turns it into requirements, with numbering kept. Files match with a confidence score the owner confirms. Several files can satisfy one line. A readiness ring counts matched against open. That is a count of files, not a score of the business. The owner brings the list. See What is Cashpian?, and pricing.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
