When do you need a virtual data room instead of Google Drive, Dropbox or Box?
You need a virtual data room instead of Google Drive, Dropbox or Box when two or more of these apply: an NDA signed before any file opens, a watermark with the viewer’s name on every copy, a page-level log of who read what, or a per-party wall so one buyer never sees another.
File sharing still wins one trusted party. View-only never stops a screenshot.
When you need a data room (definition). The step up from a shared folder is four controls file sharing does not do together.
NDA at the door. Watermark on every copy. Page-level log. A wall between parties.
Two or more of those, or several outsiders who must not see each other, is the switch.
The four triggers
Stay on Drive, Dropbox or Box while the share is one known party and none of the four controls matter yet. Open a room when two or more apply.
| Trigger | Drive / Dropbox / Box | Dedicated room |
|---|---|---|
| NDA signed before any file opens | Drive has no NDA gate. Dropbox has none on a shared link. Box custom Terms of Service is account-wide, not a per-folder NDA. | Signature at the door. Certificate per signer. |
| Watermark with the viewer's name on every copy | Drive: no watermark. Dropbox shared link: no per-viewer watermark. Box: Enterprise and above, Viewer downloads only. | Watermark on preview and download for every invited viewer. |
| Page-level log of who read what | Drive: no per-viewer page log for outsiders. Dropbox: file-level at best; DocSend is a separate product. Box Content Insights is file-level. | Which documents and pages, time on page, re-opens. |
| Per-party wall so one buyer never sees another | A folder copy per party. Shared links get forwarded. Collaborators can collide. | One audience per party. Q&A private until published. |
When file sharing still wins
A view-only Google Drive folder is enough for one trusted party. Google’s own sharing model is Viewer, Commenter, and Editor. A Viewer can download by default. The owner can prevent download, print, and copy. Expiration is on work or school accounts. See Share files from Google Drive (retrieved 2026-10-01) and Stop or change how a file is shared (retrieved 2026-10-01).
Dropbox Professional and paid team plans can password a shared link, expire it, and disable downloads. Dropbox’s own help page says disabling downloads does not stop other save methods. Article updated 2026-02-20: How to set shared link permissions (retrieved 2026-10-01). Dropbox’s viewer-tracking product is DocSend, a separate subscription.
Box as the company file system, including when Box is enough for a bilateral deal, is Box vs a virtual data room for sharing confidential due diligence documents. Drive alone, for a founder’s investor diligence, is Google Drive vs a data room for investor diligence.
Box watermarking, Content Insights, and custom Terms of Service are cited there from Box’s own help: Watermarking Files, Tracking User Activity on Files, Using Custom Terms Of Service, and Box pricing.
View-only never stops a screenshot
No shared-folder setting, and no dedicated room, stops a phone camera. A watermark names the copy so a leak has a fingerprint. It does not stop the camera. Say that to counsel before you promise otherwise.
A broker with several listings
A business broker carrying several listings at once is a different pick: room caps punish parallel listings. That list is best data room for a business broker.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
