Is Google Drive enough as a data room for investor diligence?

Google Drive is enough for a pre-seed raise with a handful of warm intros and a view-only folder.

It is not a data room: no per-page watermark, no per-viewer log, no NDA gate, and a Viewer link can still be copied.

Dedicated rooms import from Drive.

They do not replace Drive as the working folder.

Drive vs data room (definition). Drive is the working folder.

A data room is a gated copy: watermarks, view-only, a log of who opened which file.

Live-sync overlays keep the bytes in Drive.

Import rooms copy the bytes into a vault. Those are different products.

When Drive is enough

A view-only Google Drive folder is the honest answer for friends-and-family and a handful of pre-seed angels. Everyone already has the account. Working drafts stay there too: the team edits in Drive, not in the room.

Drive wins those two jobs. Do not buy a room to impress three angels who already have the folder.

Google’s own sharing model is Viewer, Commenter, and Editor. A Viewer can download by default. There is no per-page watermark. See Share files from Google Drive.

What connecting Drive actually does

Connecting Drive is a copy, not a mount. The founder picks files or folders. The browser downloads those bytes and puts them in the vault. Drive remains the working copy. The room is a snapshot until they import again.

The cap is 200 files per import. OneDrive and Dropbox use the same 200-file copy-in. A larger folder needs a second pull. That bound is one import, not the vault.

“Keep folder structure in the vault” is optional and off by default. Off, files land flat in the vault root. On, relative Drive paths are mirrored into vault folders after the copy. It is not two-way. It is not the room door that turns zip folders into sections.

Shared or unowned folders do not expand. The import can only walk folders the signed-in user owns. A folder shared with them is skipped. Shortcuts are not followed. Empty folders skip.

Founders upload the packet; viewers get a view-only link, logged page by page. See What is Cashpian?.

Live-sync overlays win when the founder will not copy. Import rooms do not win “always identical to Drive.” Watermarking on a tracked deck tool starts on DocSend Advanced, not Standard. The seed split is Should a seed founder use DocSend or a data room?.

What a seed room costs is how much a data room costs for a seed round. Copy-in means the bytes leave Drive and sit in the vault; the no-train check is does a virtual data room train AI on my documents.

When Drive stops being enough

Drive fails once a raise turns into a parallel process: ten funds, two or three people each, access requests in the busiest week, and no log of who opened the model. A Viewer link that gets forwarded is the usual leak. Sharing settings will eventually embarrass you.

That is when you import into a room. Drive stays the working folder. The room is the gated copy you send.

FAQ

Does connecting Drive keep the files only in Drive?

No for Cashpian.

Connecting Drive copies the picked files into the vault.

Drive still holds the working copies.

The room does not stay live-synced.

Can I import a folder someone shared with me?

Not if you do not own the folder.

Shared folders skip.

Copy the files into a folder you own, then pick that.

When does Drive stop being enough?

When more than a handful of people need the packet, or you need a per-page watermark and a per-viewer log.

A Viewer link that can be forwarded is the usual failure.

Drive stays the working folder.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.

The working folder, then the copy

Keep Drive for drafts. Put the packet in a room.
