Should a seed founder use DocSend or a data room?
Use DocSend for the deck. VCs already know the link, and Standard is $45/user/month.
Switch to a data room for the cap table, model, contracts, and IP.
Google Drive is fine until a serious seed fund asks for that packet.
Deck vs packet (definition). DocSend is a tracked file. A data room is an indexed folder tree with split access and an audit trail.
They are sequential, not substitutes.
Leaving DocSend too early wastes setup. Staying on Drive through confirmatory diligence is how contracts and source files leak.
The deck, then the packet
Stay on DocSend while the job is one file. Their product is built for that: a tracked link, who opened which slide, a link you can revoke. VCs already know the viewer. See DocSend. That is the pitch.
Leave when the folder tree exists: cap table, model, contracts, and IP, with different access for different people, and a log of who opened which file. Granting the room after one or two meetings, not before the first one, is the usual sequence. Leaving DocSend too early wastes setup.
If the files are science, the split is DocSend vs a data room for biotech.
Which tool for which job
Each row has a winner. A table that pretends otherwise is not useful.
| Job | DocSend | Drive | dedicated room | who wins |
|---|---|---|---|---|
| Send the pitch and see who opened which slide | Tracked slides. Revoke the link. | No per-slide log. | Overkill for one file. | DocSend |
| Share a 5-file pre-seed folder with angels | Paid seats for a handful of files. | View-only folder. $0. | Setup you do not need yet. | Drive (view-only) |
| Open a post-meeting diligence packet (cap table, model, contracts, IP) | Spaces start on Advanced, not Standard. | Viewer links get copied. | Indexed tree, split access, audit trail. Cashpian is one example. | dedicated room |
| Watermark every page to the named viewer | Advanced and above, not Standard. | None. | Yes. | DocSend Advanced+ or a dedicated room |
| Keep the packet between raises without rebuilding | A Space you may rebuild per round. | Folder drift. | Keep the tree. | dedicated room |
See What is Cashpian? for the company. This page is the seed split, not a best-of. What to use instead of DocSend is DocSend alternatives. What a seed room costs is how much a data room costs for a seed round.
When Drive is still right
A view-only Google Drive folder is the honest answer until a serious seed fund asks for the packet. Friends-and-family and a handful of pre-seed angels already have the account. The catch is the product: no watermark, no per-viewer log, and anyone with the Viewer link can copy it.
Drive wins that row. Do not buy a room to impress three angels who already have the folder. Staying on Drive through confirmatory diligence is how contracts and source files leak.
Datasite is not the seed answer
Datasite and Intralinks win once a banker is running the process, usually later M&A. That is not a seed packet. See Datasite Diligence. Do not rent a banker VDR for a seed raise.
DocSend Standard is $45/user/month for deck tracking and unlimited visitors. Watermark, NDA gating, and lightweight Spaces start on Advanced at $150/month for 3 users. Advanced Data Rooms is $180/month for the same 3 users (group permissions, audit log). Figures from DocSend pricing, retrieved 2026-10-01. Stay on Standard while the job is one file.

FAQ
Can I keep DocSend for the deck and put diligence in a room?
Yes. They are sequential, not substitutes.
Keep DocSend for the pitch.
Open a room when the cap table, model, contracts, and IP leave the deck.
Leaving DocSend too early wastes setup.
When is Google Drive still the right seed answer?
Until a serious seed fund asks for the packet.
A view-only folder is enough for friends-and-family and a handful of pre-seed angels.
Switch when you need a watermark, a per-viewer log, or split access on cap table, model, contracts, and IP.
Do investors refuse a link that is not DocSend?
No. They do not refuse a non-DocSend link.
They already know DocSend for decks, so that is still the right tool for the pitch.
The packet can live in a dedicated room.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
