What goes in a data room for raising tax equity for a solar project?
A tax-equity data room for a solar project holds the independent-engineer report, completion certificates, title and ALTA survey, permits, and the model as the flip base case. Tax-credit evidence is counsel’s memo, not the developer’s opinion. Completion documents delay funding.
Ask your tax advisor. KMZ, shapefile, DWG and native engineering files cannot be uploaded; share PDF exports.
Solar tax-equity data-room index (definition). The numbered evidence file a tax-equity investor, its counsel and the independent engineer read after a term sheet.
It proves the IE report, completion certificates, title and ALTA, permits and the model as the flip base case are in the room, and that tax-credit conclusions sit with counsel.
A generic company-sale checklist is not this index.
The index, sourced, not a vendor list
Norton Rose Fulbright published a sample transferable tax-credit due diligence checklist (30 April 2024, retrieved 2026-10-02). It is a named-firm checklist, not a file count. Sargent & Lundy’s independent-engineering white paper (retrieved 2026-10-02) is the IE shape financiers rely on for storage and hybrid files. Euclid Power’s Why incomplete documentation delays tax equity close at substantial completion (21 April 2026, retrieved 2026-10-02) says that for many solar and storage projects the gap between physical completion and financial close comes down to documentation that is not ready when the system is. The IRS elective pay and transferability FAQ (retrieved 2026-10-02) says Treasury and the IRS do not provide personalized tax advice, and that you may also choose to consult with a tax advisor. The general company-sale version of this index is what should be in a sell-side data room index. The buyer-side packet is what documents a buyer needs for a solar or battery storage project acquisition. How the developer stages a sale is how to run a sale process for a renewable energy project at NTP.
| Put this | Why it is in the index | Where the norm is written |
|---|---|---|
| Independent-engineer report | Financiers rely on an IE for design, construction and ops risk. | Sargent & Lundy IE methodology |
| Completion certificates | Physical completion is not financial close. Missing certificates delay funding. | Euclid Power, 21 April 2026: incomplete documentation delays tax-equity close at substantial completion |
| Title and ALTA survey | The project company has to own what it is financing. | Norton Rose Fulbright, February 2020: land rights are a core right |
| Permits | A missing permit is a funding condition. | Norton Rose Fulbright: permits add certainty and value |
| The model as the flip base case | The partnership underwrites the flip from this workbook, not a PDF print. | Upload the spreadsheet. |
| Begin-construction facts for counsel | If the project is supposed to qualify for federal tax credits, the buyer asks the seller to represent facts, not a legal conclusion. | Norton Rose Fulbright: seller represents facts; buyer draws the tax conclusion |
| Prevailing-wage and apprenticeship records | Meeting those requirements can increase the base credit by five times. Limited exceptions exist. Keep records. | IRS prevailing wage and apprenticeship requirements, retrieved 2026-10-02 |
| Section 6418 transfer file, if credits will be sold | Eligible taxpayers can elect to transfer eligible credits for cash. A transfer election statement and a pre-filing registration number sit with the return. | IRS transferability FAQ Q1, Q4, Q6, retrieved 2026-10-02 |
| PDF exports of site plans, single-line diagrams and study reports | KMZ, shapefile, DWG and native engineering files cannot be uploaded. | File-type limit of the room, not a size claim. |
First-look, after term sheet, keep out
First-look is what the investor sees with the IE report, title summary, permit list and the model. After the term sheet is confirmatory sampling of completion certificates and counsel’s tax file. Keep-out is what does not belong in the open tree. Euclid’s late-stage BESS diligence note (10 March 2026, retrieved 2026-10-02) says projects that look viable on paper still struggle to close when tax-equity investors find unresolved exposure. | Folder | First-look | After term sheet | Keep out |
|---|---|---|---|
| IE and completion | IE report, substantial-completion definition from the EPC | Completion certificates, punch list, as-built PDF exports | A claim that the data-room vendor certifies completion |
| Title and land | Title summary, ALTA survey PDF | Title commitment, exception schedule, estoppels | Native KMZ or shapefile of the array |
| Permits | Permit list and remaining conditions | Issued permits, AHJ correspondence | A hoped-for permit that is not in hand |
| Model | The flip base-case workbook | Sensitivity cases the investor requested | A PDF of the model the quality-of-earnings has to unwind |
| Tax-credit file | That counsel has a memo; the facts the seller will represent | Counsel's memo, begin-construction file, PWA records, section 6418 election draft as requested | The developer's own credit calculation |
| Engineering natives | PDF exports of single-line diagrams and study reports | Updated PDF exports after as-built | KMZ, shapefile, DWG, native PVsyst or PSS/E files |
