What documents does a buyer need for a solar or battery storage project acquisition?
A buyer of a solar or battery-storage project needs site control, interconnection, offtake, and the tax-credit basis first, then the battery file: MW and MWh, degradation and warranties, NFPA 855 and UL 9540A, and chemistry and cell origin. The buyer’s own request list controls.
Have counsel review the cut. Native KMZ, shapefile, DWG and engineering files stay out of the room; the developer shares PDF exports.
Solar and battery-storage buyer document index (definition). The numbered evidence file behind one project-company sale.
It prices site control, interconnection, offtake and the tax-credit basis first, then the battery file.
A generic company-sale checklist is not this index.
The index, sourced, not a vendor list
Enverus’ renewable energy M&A due diligence checklist (7 April 2026, retrieved 2026-10-02) screens by technology, stage and ISO, then land control, permitting, resource, interconnection, market and revenue, and technical design. Interconnection is framed as the largest execution risk. Sargent & Lundy’s BESS independent-engineering white paper (retrieved 2026-10-02) adds use case and revenue, equipment and design, commercial agreements, and construction, commissioning and ops, with fire protection and warranty terms unique to storage. Renewable Guard publishes a BESS data-room checklist (retrieved 2026-10-02) that includes UL 9540A cell, module, unit and installation reports. None of them publishes a file count. The general company-sale version of this index is what should be in a sell-side data room index. How the seller stages the process is how to run a sale process for a renewable energy project at NTP. What a tax-equity investor asks for is what goes in a data room for raising tax equity for a solar project.
| Put this | Why it is in the index | Where the norm is written |
|---|---|---|
| Site control: leases, options, title | Without land rights the project company has nothing to sell. | Enverus, April 2026: land control and buildability |
| Interconnection: queue position, studies, interconnection agreement | Upgrade cost and GIA probability move the price. The studies and the signed agreement sit in the room as documents. | Enverus: queue position, study phase, competing POI, upgrade costs |
| Offtake: PPA, tolling agreement or hedge | An offtaker increases value. Merchant revenue is a different underwrite. | Norton Rose Fulbright, February 2020: land and interconnection are core rights; an offtaker increases value |
| Tax-credit basis: counsel's memo, not the developer's opinion | Begin-construction evidence, prevailing wage, domestic content and section 6418 transfer sit with counsel. | IRS transferability FAQ, retrieved 2026-10-02: consult a tax advisor |
| Permits and environmental constraints | A missing permit is a closing condition, not a footnote. | Enverus: permitting status and environmental constraints |
| Independent-engineer report | Financiers rely on an IE with storage expertise for use case, design, fire protection and warranty terms. | Sargent & Lundy BESS IE white paper |
| Financial model, P50 / P90, 8760 | The model has to match the use case and the warranty envelope. | Sargent & Lundy: use case, design and financial modeling have to be consistent |
| Battery file: MW versus MWh, degradation, augmentation, warranties | Warranty protections are contingent on depth of discharge, cycles and temperature. | Sargent & Lundy: battery module supply warranty terms |
| NFPA 855 and UL 9540A fire-safety file | UL 9540A is the consensus standard NFPA 855 cites for large-scale fire testing. Cell, module, unit and installation reports sit together. | UL 9540A test method, retrieved 2026-10-02 |
| Chemistry and cell origin for FEOC | Supply-chain restrictions can cut ITC proceeds at closing. | Euclid Power, March 2026: FEOC and domestic content at late-stage close |
| EPC, equipment supply, O&M and LTSA | Bankability is whether those risks are in enforceable contracts. | Sargent & Lundy: commercial agreements |
| PDF exports of site plans, single-line diagrams and study reports | KMZ, shapefile, DWG and native engineering files cannot be uploaded. Share PDF exports. Keep natives in the GIS or engineering share. | File-type limit of the room, not a size claim. |
First-look, after exclusivity, keep out
First-look is what an NDA’d bidder sees with site control, interconnection, offtake and the tax-credit facts. After exclusivity is confirmatory sampling. Keep-out is what does not belong in the open tree. How the interconnection queue itself works is the interconnection queue. Tax-credit, prevailing-wage and transfer elections end at counsel. The IRS prevailing wage and apprenticeship page (retrieved 2026-10-02) says meeting those requirements can increase the base credit by five times, with limited exceptions, and tells taxpayers to keep records. Ask your tax advisor. Have counsel review. This page is not a template.
| Folder | First-look | After exclusivity | Keep out |
|---|---|---|---|
| Site control | Lease and option summaries, remaining term, site plan PDF | Executed leases, estoppels, title commitment | Native KMZ, shapefile or CAD of the array |
| Interconnection | Queue position, study phase, signed IA or study reports as PDFs | Facilities-study cost allocation, deposit receipts | A hoped-for GIA that is not in hand |
| Offtake | PPA or tolling term sheet, term and offtaker name | Executed offtake, assignment consent | A draft that the offtaker has not signed |
| Tax-credit basis | That counsel has a memo; the facts the seller will represent | Counsel's memo, begin-construction file, PWA records as requested | The developer's own credit calculation |
| Battery file | MW and MWh, chemistry, warranty summary, UL 9540A report list | Full UL 9540A cell, module, unit and installation reports; NFPA 855 design basis | A claim that the data-room vendor certifies fire safety |
| Engineering natives | PDF exports of single-line diagrams and study reports | Updated PDF exports after design freeze | KMZ, shapefile, DWG, native PVsyst or PSS/E files |
Euclid Power’s late-stage BESS diligence note (10 March 2026, retrieved 2026-10-02) flags NFPA 855 spacing, fire suppression and FEOC as close killers if they surface late. UL Solutions’ UL 9540A page (retrieved 2026-10-02) states that UL 9540A is the only consensus standard NFPA 855 cites for large-scale fire testing, and that the 2026 edition of NFPA 855 adds Annex G.11 on fire spread between BESS units. FAQ
Who decides the final document list?
The buyer's own diligence request list.
Enverus, Sargent & Lundy and Renewable Guard publish checklists, not a file count.
Have counsel review the cut. This page is not a template.
What belongs in the battery file that a solar-only deal skips?
MW versus MWh, degradation and warranties, NFPA 855 and UL 9540A reports, and chemistry and cell origin.
Sargent & Lundy and Renewable Guard list those.
Have counsel review.
Do KMZ, shapefile or DWG drawings go in the room?
They cannot be uploaded.
The developer shares PDF exports of site plans, single-line diagrams and study reports, and keeps native files in their own GIS or engineering share.
How does this index differ from a company sale?
Site control, interconnection, offtake and the tax-credit basis sit here first.
The battery file is extra.
Named counterparties wait for confirmatory diligence the way named customers wait in a company sale.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
