SBA 7(a) due diligenceLender packet

What does an SBA lender need to see in due diligence to finance a business acquisition?

An SBA 7(a) lender financing a business acquisition needs the target’s three years of tax returns and financials, the purchase agreement, the lease, and a valuation the lender orders.

Ask your lender for its checklist. SOP 50 10 8.1 is the source. This page does not restate it.

SBA lender due diligence packet (definition). The files an SBA 7(a) lender reviews on a change of ownership: the target’s books matched to IRS transcripts, the deal papers, and the reports the lender orders.

A CIM dump is not this packet.

The lender’s portal is a later job.

Ask the lender first

You apply for an SBA 7(a) loan through a lender. SBA’s 7(a) loans page (retrieved 2026-10-12) says a 7(a) loan can be used for a change of ownership, complete or partial, up to $5 million. You apply through a local lender. “The contents of the loan application vary depending on the size of the loan and the lender’s processing method. Your lender will help you determine which documents you’ll need based on your individual circumstances. You will always work directly with your lender and not with SBA.”

SOP 50 10 8.1, Lender and Development Company Loan Programs, took effect 1 October 2026 (information notice 5000-880695, last updated 14 August 2026). This page does not restate the SOP. Ask your lender.

What the seller’s broker sends after the NDA is what a business broker should give a buyer after the NDA. That packet is the seller’s. This page is what the SBA lender needs to see in due diligence. How to folder those files is how to organize documents for an SBA loan to buy a business. How they go to the lender, CPA, and attorney is how to share due diligence documents with an SBA lender, CPA and attorney. What is still open before closing is how to track what an SBA lender still needs before closing.

Pioneer Capital Advisory’s SBA documentation checklist for business buyers (4 December 2025) is based on SOP 50 10 8, effective 1 June 2025. GoSBA Loans’ acquisition due diligence checklist is another advisor’s, written against SOP 50 10 8. Live Oak Bank’s SBA 7(a) acquisition page is one lender’s list. None of them is your lender’s checklist. Use them to know what to gather. Ask your lender which of these it actually wants.

What you hand over, what the lender runs

The seller’s files come from the seller or the seller’s broker. The buyer uploads them. The lender still pulls transcripts, orders the valuation, and runs its own searches. A file in hand is not a condition cleared.

FAQ

Does every SBA lender ask for the same due diligence files?

No.

SBA's 7(a) page says the contents of the application vary by size and processing method, and you always work with the lender, not with SBA.

Ask your lender for its checklist.

Do IRS transcripts replace the seller's tax returns?

No.

Pioneer Capital Advisory (4 December 2025) says lenders obtain IRS transcripts to verify that returns were filed and to reconcile them with the copies you handed over.

GoSBA Loans says the same for the seller's financial data.

Sign the form your lender names.

Can the buyer commission the valuation the lender uses?

No.

GoSBA Loans says a valuation for an SBA acquisition must be requested by and prepared for the lender, not the buyer or seller.

The same is true of a quality of earnings when the lender requires one.

Ask your lender what it will order.

Does the CIM count as the lender's due diligence packet?

No.

After the NDA a broker sends the CIM or CBR and summary financials.

The lender needs tax returns it can match to IRS transcripts, the purchase agreement, the lease, and reports it orders.

Those wait for an accepted LOI and the lender's own checklist.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.

The lender’s list, not a dump

Ask the lender for its checklist. Hold the rest until it asks.
