How to organize documents for an SBA loan to buy a business

To organize documents for an SBA 7(a) loan to buy a business, start from the lender’s own checklist, not a generic folder tree.

SBA’s 7(a) page says you apply through a lender, the contents of the application vary, and you always work with the lender, not with SBA. Ask your lender for its list.

SBA 7(a) lender packet (definition). The buyer’s assembly of the files an SBA 7(a) lender names on its own checklist for a change of ownership, kept in sections the lender, CPA, and attorney can each open.

A generic folder tree is not this packet.

The lender’s portal is a later job.

Ask the lender first

SBA’s 7(a) loans page (retrieved 2026-10-01) says a 7(a) loan can be used for a change of ownership, complete or partial, up to $5 million. You apply through a local lender. “The contents of the loan application vary depending on the size of the loan and the lender’s processing method. Your lender will help you determine which documents you’ll need based on your individual circumstances. You will always work directly with your lender and not with SBA.”

SOP 50 10 8.1, Lender and Development Company Loan Programs, took effect 1 October 2026 (last updated 1 October 2026). This page does not restate the SOP. Ask your lender.

What the seller’s broker sends you after the NDA is what a business broker should give a buyer after the NDA. That packet is the seller’s. This page is the buyer’s lender list. How those files then go to the lender, CPA, and attorney is how to share due diligence documents with an SBA lender, CPA and attorney. What is still open before closing is how to track what an SBA lender still needs before closing.

The packet, sourced

Pioneer Capital Advisory’s SBA documentation checklist for business buyers (4 December 2025) is based on SOP 50 10 8, effective 1 June 2025. BankUnited’s loan information packet is one lender’s list, written against SOP 50 10 6. GoSBA Loans’ acquisition due diligence checklist is another advisor’s. None of them is your lender’s checklist. Use them to know what to gather. Ask your lender which of these it actually wants.

Keep the buyer’s personal file away from the target’s books. Keep attorney work product out of the shared folder. The seller’s files come from the seller or the seller’s broker; the buyer saves each one into the target folder as it arrives.

FAQ

Is there one standard SBA 7(a) document list?

No.

SBA's 7(a) page says the contents of the application vary by size and processing method, and you always work with the lender, not with SBA.

Ask your lender for its checklist.

How fresh do the seller's interim financials have to be?

Lender by lender.

Pioneer Capital Advisory's checklist (4 December 2025) says interim financials dated within 120 days.

Ask your lender for its cutoff, and replace the interim when a newer month closes.

Who orders the business valuation?

The lender.

GoSBA Loans says a valuation for an SBA acquisition must be requested by and prepared for the lender, not the buyer or seller.

Ask your lender what it will order.

Does a data room fill Form 1919 or Form 413?

No.

Those are SBA forms the borrower completes and gives to the lender.

A room holds the files. It does not fill or e-sign SBA forms.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.

The lender’s list, not a dump

Upload the lender’s checklist. Hold the rest until it asks.
