How to track what an SBA lender still needs before closing

To track what an SBA 7(a) lender still needs before closing, start from the lender’s conditions list: the commitment letter and the SBA Authorization control, not a generic checklist.

Keep three states: requested, in hand, and accepted. A file you uploaded is not a condition the lender has cleared.

Closing-conditions log (definition). A row per lender condition with owner, status requested / in hand / accepted, dates, and a link to the file.

In hand is not accepted.

A readiness count of matched files is not lender sign-off.

The commitment letter controls

SBA’s 7(a) loans page (retrieved 2026-10-01) says the contents of the application vary, and you always work with the lender, not with SBA. SOP 50 10 8.1, Lender and Development Company Loan Programs, took effect 1 October 2026. Ask your lender for its closing conditions. A generic intake list is a starting pile. The commitment letter, and later the SBA Authorization, is the list that can stop a close.

What to gather in the first place is how to organize documents for an SBA loan to buy a business. Who sees which file is how to share due diligence documents with an SBA lender, CPA and attorney.

Requested, in hand, accepted

Pioneer Capital Advisory’s SBA documentation checklist for business buyers (4 December 2025) is one advisor’s map from LOI to close. It is not the lender’s conditions list. Use three states so a PDF in a folder cannot masquerade as a cleared condition.

StateWhat it meansWhat it does not mean
RequestedThe lender named the item. It is on the conditions list or in an email. That you have the file. That the seller has sent it.
In handA file sits on the line. You uploaded it, or the broker sent it, and you matched it.In hand is not accepted. Transcripts have not reconciled. The condition is not cleared.
AcceptedThe lender said the condition is satisfied, in writing or in its portal. That closing is set. Other conditions can still be open.

Who actually keeps the log

A spreadsheet of the lender’s closing conditions still wins for a buyer who is the only person watching. A dedicated room wins once the lender, the CPA, and the attorney each need to see what is still missing, and a recipient can ask for a file from inside the room. The lender’s portal still wins the system of record.

JobWho winsWhy
The system of record for underwritingThe lender's portalConditions clear there. A buyer room does not submit the loan.
One buyer tracking a short listA spreadsheet: item, owner, requested / in hand / accepted, date, linkFree. It goes stale when the third email thread forks.
Lender, CPA, and attorney watching the same open itemsA dedicated room with the lender's list as the checklistReadiness is matched against open. A recipient can request a missing file. In hand is still not accepted.

In a Cashpian room you upload the lender’s checklist. Files match to lines with a confidence score the buyer confirms. The readiness ring counts matched against open, by section. That count is not lender sign-off. Replace a newer interim P&L in place; the line shows “File changed” until you reconfirm. A recipient can request a missing document from a section header; you accept it onto a line, and they get an email when the file is added. See What is Cashpian?, and pricing.

FAQ

Is a file I uploaded a condition the lender has cleared?

No.

In hand is not accepted.

The readiness count measures matched files, not lender sign-off.

The commitment letter and the SBA Authorization control.

Whose list should I track against?

The lender's conditions list.

Start from the commitment letter and, later, the SBA Authorization.

A generic checklist is a starting pile, not the closing list.

Ask your lender.

What do I do when the seller sends a newer interim P&L?

Replace the old file on the same line, so a stale interim does not sit there looking finished.

Pioneer Capital Advisory's checklist (4 December 2025) says interim financials dated within 120 days; your lender's cutoff may differ.

Ask your lender whether the condition needs another look.

Who asks for the missing document?

The lender, from its own portal or by email, or from inside a room that lets a recipient request a file.

You accept the request onto a checklist line.

A room does not submit the loan.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.

In hand is not accepted

Track the lender’s conditions. Do not count a PDF as a clearance.
