Should an emerging manager use DocSend or a data room for an LP raise?
Use DocSend for the deck during an LP raise. LPs already know the link, and Standard is $30/user/month billed yearly.
Switch to a data room when the PPM, the track record, and more than one LP leave that one file.
DocSend Advanced Data Rooms is enough for a simple Fund I. Google Drive is fine until a second LP is in the PPM.
Deck vs packet (definition). DocSend is a tracked file. A data room is an indexed folder tree with split access and an audit trail.
They are sequential, not substitutes.
Leaving DocSend too early wastes setup. Staying on Drive through LP diligence is how the track record leaks.
The deck, then the packet
Stay on DocSend while the job is one file. Their product is built for that: a tracked link, who opened which page, a link you can revoke. LPs already know the viewer. See DocSend. That is the deck during outreach.
Some LPs ask for a PDF of the deck. Send the file. Keep the tracked link for everyone else.
Leave when the folder tree exists: PPM, LPA, track record, and DDQ, with different access for different LPs, and a log of who opened which file. How to stage that share is how an emerging fund manager should share the PPM and track record with LPs under NDA. What goes in the folder is what should be in a Fund I data room for LP due diligence. DocSend’s own emerging-funds data room post says to stage-gate: general fund information to interested LPs, legal documents and past performance once interest is real.
Which tool for which job
Each row has a winner. A table that pretends otherwise is not useful.
| Job | DocSend | Drive | dedicated room | who wins |
|---|---|---|---|---|
| Send the deck and see who opened which page | Tracked pages. Revoke the link. | No per-page log. | Overkill for one file. | DocSend |
| One trusted LP, view-only folder | Paid seats for a handful of files. | View-only folder. $0. | Setup you do not need yet. | Drive (view-only) |
| Simple Fund I on one vendor: NDA, watermark, groups | Advanced Data Rooms ($180/month billed yearly, 3 users). | No NDA. No watermark. | A second product. | DocSend Advanced Data Rooms |
| PPM, track record, and more than one LP, with fenced Q&A | Group visitor permissions on Advanced Data Rooms. | Viewer links get copied. The second LP forwards the track record. | Indexed tree, one audience per LP, fenced Q&A. Cashpian is one example. | dedicated room |
| Watermark every page to the named viewer | Advanced and above, not Standard. | None. | Yes. | DocSend Advanced+ or a dedicated room |
See What is Cashpian? for the company. This page is the deck-versus-packet split, not a best-of.
When Drive is still right
A view-only Google Drive folder is the honest answer until a second LP is in the PPM. One trusted family office already has the account. Drive is not the room for a Fund I with several LPs in the track record. The catch is the product: no watermark, no per-viewer log, and anyone with the Viewer link can copy it.
Drive wins that row. Do not buy a room to impress one office that already has the folder. Staying on Drive through LP diligence is how the track record leaks.
When DocSend Advanced Data Rooms is still the room
DocSend Advanced Data Rooms is a virtual data room: NDA gating, watermark, group visitor permissions, audit log, and indexing. The Dropbox help page (updated 6 March 2026) lists those extras on top of Advanced, and includes 3 licenses. For a simple Fund I that already lives in DocSend, that is enough. Do not open a second product to look serious.
NDA and watermark start on Advanced at $150/month billed yearly for 3 users, not on Standard. Advanced Data Rooms is $180/month billed yearly for the same 3 users. Standard is $30/user/month billed yearly for tracked files. Figures from DocSend pricing, retrieved 2026-10-12, yearly toggle. A 14-day Advanced Data Rooms trial exists; unlimited visitors are not on free trials.
If AngelList already administers the fund, use that room. AngelList Data Room is free, up to 10 rooms at 50 GB each, with an NDA page, watermarks, and page-by-page metrics (retrieved 2026-10-12). The raise-versus-portal split is data room or an investor portal like Carta or Juniper Square. Do not collect subscription documents, government IDs, or wire details in the diligence room. That is the administrator’s portal at first close.
Datasite and Intralinks win once a placement agent requires their room. That is not the Fund I default. See Datasite Diligence. Do not rent a banker VDR for an emerging manager raise.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
