What should be in a pharma partnering data room?
A pharma partnering data room is not a fundraising room with extra folders. Search-and-evaluation teams triage IP and the thesis first, then staged clinical and CMC.
Tech-transfer, comparability, and manufacturing know-how open later, usually under exclusivity. Do not dump sequences or full CSRs in wave one.
Pharma partnering data room (definition). The staged packet a search-and-evaluation team reads after a CDA.
IP and the thesis open first. Clinical and CMC open next. Know-how opens last.
A fundraising Gantt is not this room.
A banker-led M&A VDR is a later tool.
Pharma partnering data room
Out-licensing is staged disclosure. BD wants to know whether the asset is real and who owns it before they ask manufacturing how to make it.
Fundraising is a different job. a16z Bio + Health’s 13 February 2024 guide owns the raise: use of proceeds, a Gantt, and program-level science. See Virtual Data Rooms: The Unsung Hero of Biotech Financing. The nine-folder backbone for that packet lives on what should be in a biotech fundraising data room. Do not paste a second nine-folder tree here.
What opens, and who sees it
Three waves. Post-CDA is triage. Term sheet is confirmatory science. Exclusivity is tech-transfer.
| Wave | What opens | Who sees it |
|---|---|---|
| Post-CDA | Thesis, patent list, high-level summaries. No sequences, no full CSRs. | Search-and-evaluation and BD triage. |
| Term sheet | Clinical study reports, CMC overview, detailed IP, key contracts. | Scientific diligence plus CMC on the term-sheet path. |
| Exclusivity / definitive | Tech-transfer, comparability, manufacturing know-how. | The partner's manufacturing and tech-transfer team. |
What a pharma BD team actually asks
Who owns the IP, and is it free to operate. What the molecule or modality is supposed to do, in one thesis. Whether human data exists, and at what stage. How you make it at the scale you claim.
Use of proceeds and a hiring Gantt answer a fund, not a licensee. Cap table belongs on the raise side of the same room, gated to investors.
What to keep out of wave one
Sequences, lead structures, full CSRs, and manufacturing know-how do not belong in the first look. a16z is explicit on sequences for a raise; partnering is stricter, because the reader may also be a competitor.
ShareVault and Datasite win once a banker is running a pharma M&A process. This page is the founder-led out-licensing packet, not that VDR.

FAQ
Do pharma partners and VCs look at the same folders?
No.
A VC wants use of proceeds and a Gantt.
A search-and-evaluation team wants IP first, then staged clinical and CMC.
Tech-transfer and comparability are partnering files, not raise files.
When do CMC and tech-transfer open?
CMC overview opens at term sheet, with CSRs.
Tech-transfer, comparability, and manufacturing know-how open later, under exclusivity or a definitive license.
Do not dump those in wave one.
Can one room serve a raise and a license?
Yes, if waves and audiences stay split.
Reuse the nine-folder backbone.
Do not give a BD team the cap table pack, or a VC the know-how pack.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
