BiotechFundraising · the packet

What should be in a biotech fundraising data room?

A biotech fundraising data room holds nine folders: corporate, team, financing and cap table, financials, IP, science and programs (mechanism, target validation, in vitro, in vivo), clinical if you have it, regulatory, and CMC.

It is not a shared Drive folder of the pitch.

A SaaS fundraising room of deck, model, cap table, and traction is not this packet.

Early access is the deck and a high-level science pack. Confirmatory diligence is full IP, datasets, and contracts.

Biotech fundraising data room (definition). The indexed evidence file behind the deck.

Science, IP, CMC, and regulatory sit in folders an investor can reach in one or two clicks.

A teaser is not this room.

A banker-led M&A VDR is a later tool.

Biotech fundraising data room

A SaaS fundraising room is deck, model, cap table, and traction. Biotech diligence is science, IP, CMC, and regulatory. Traction KPIs do not replace in vivo. Do not pick a VDR on generic secure file sharing.

a16z Bio + Health’s 13 February 2024 guide is the outbound standard: program-level scientific deep dives, not just the deck. See Virtual Data Rooms: The Unsung Hero of Biotech Financing. Keep the room between raises. Rebuilding it every time is how versions drift.

Morgan Cheatham’s 13 October 2022 Anatomy of the Data Room, the piece a16z names, is the complementary rule: the best rooms are concise. Do not trickle files.

What goes in the folder

Numbered sections a founder can copy. More directories beat fewer dense ones. Put clinical data only if you have it. Do not invent statistics.

FolderEssentialWho reads it
CorporateCharter, bylaws, CRO/CDMO/BD contracts if any. Confidential deck once a CDA is in place.Counsel and the associate running the process.
TeamBios of operators, scientific advisors, and key hires. CVs if they add a fact the deck omitted.Partner checking who actually runs the programs.
Financing / cap tableCurrent cap table and prior round docs. Fine to hold the cap table until interest is real.Partner and counsel on the term-sheet path.
FinancialsUse of proceeds split by program and platform, historical and forecast spend, Gantt for this raise.Associate modeling runway by program.
IPPatent schedule, inventor assignments, university license if any, FTO summary. Differentiation, not a dump of every agreement.IP counsel and the scientific partner.
Science / programsPer program: mechanism, target validation, in vitro, in vivo, TPP. Unmet need and competitive landscape. The scientific partner. This is the raise.
Clinical (if any)Protocols, investigator brochure, datasets you actually have. Skip the folder if there is no clinical work.Clinically trained partner on confirmatory diligence.
RegulatoryThe path, and IND or CTA correspondence as the round requires.Partner asking what this raise buys at FDA.
CMCManufacturing, quality, supply, CDMO if any. The full package is confirmatory, not a first look.CMC specialist after the science holds.

Three permission levels

Split early access from confirmatory diligence. Universal access to the whole tree is unnecessary.

Level 1 (initial, often pre-CDA): deck, exec summary, high-level science, pipeline, market, team.

Level 2 (serious investor, after CDA): model, detailed science, IP summary, corporate, development plan.

Level 3 (confirmatory, term-sheet path): full IP and legal, regulatory correspondence, clinical datasets, contracts, CMC. Board materials only if asked.

Seed stays light: science and IP carry the raise. Series A adds a CMC outline and the regulatory path. Clinical datasets only if they exist. Do not rebuild the tree between rounds; deepen the same nine folders.

Diligence map

An investor question should land on a folder, not a scavenger hunt. Cap table lives in Financing. Spend and Gantt live in Financials. Mechanism, in vitro, and in vivo live in Science / programs. Human data lives in Clinical. Manufacture lives in CMC. Partnerships live in Corporate.

Teaser vs room vs banker VDR

DocSend and email win the deck. This room wins the packet. Firmex, Datasite, and Intralinks win once a banker is running the process. See DocSend vs a data room for biotech. Pharma BD is a different packet: what should be in a pharma partnering data room.

What to keep out of the open room

Do not put protein or nucleic acid sequences, chemical structures, or attorney-client privilege in the open room. a16z is explicit on that. Share lead compositions later, with a smaller set, often through a third-party review.

Board minutes stay out unless an investor asks. Office leases and offer letters do not sway a financing. Items not covered under the CDA do not belong here. Raw patient-level files and the full manufacturing file stay at Level 3.

FDA’s CMC page for INDs, content current as of 22 June 2026, is phase-appropriate: a seed room does not need the full manufacturing file. See IND Applications for Clinical Investigations: CMC Information.

FAQ

How much belongs in the room, and what can wait?

Corporate, cap table, financials, IP, and program science: mechanism, target, in vitro, in vivo.

Add CMC and regulatory as the round requires.

Clinical datasets only if they exist.

Aim for 1-2 clicks from each investor question, not the largest room.

Is a pitch deck a data room?

No.

A deck is the teaser.

DocSend or email is the right tool for one file.

The data room is the indexed packet behind the deck: science, IP, CMC, and regulatory in folders an investor can reach in one or two clicks.

Who should see the full CMC package?

Only confirmatory diligence.

Level 3 gets full IP, regulatory correspondence, clinical datasets, contracts, CMC, and board materials.

Level 1 is the deck and high-level science.

Level 2 is the model, detailed science, and an IP summary.

When do I leave DocSend for a data room?

When more than one person needs a folder tree, split access, and a log of who opened which file.

DocSend wins the deck.

Staying on Drive through confirmatory diligence is how unpublished assays leak.

How is a biotech fundraising room different from a SaaS fundraising room?

A SaaS room is deck, model, cap table, and traction.

A biotech room adds science, IP, CMC, and regulatory as their own folders.

Traction KPIs do not replace in vivo.

DocSend still wins the deck.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.

The packet, not the deck

Put the files in a room before the first diligence question.
