What data room should a search fund use to send an acquisition to its investors?

A traditional search fund sending one acquisition to its existing search investors after the LOI usually uses email or a Drive or Dropbox folder. Move to a gated data room when a second investor is in the QoE, when you must hide who else was invited, or when seller files cannot be downloaded without a watermark.

The paid default for the memo is DocSend Advanced Data Rooms: $180/month billed yearly, $300/month monthly, 3 users, with NDA and group permissions (retrieved 2026-10-10). Papermark Data Rooms is €99/month billed yearly. The raise lasts as long as exclusivity, so month-to-month pricing matters.

This is our list of 9. Each row is the job that vendor actually wins for sending one acquisition to search investors, what three months cost on its published price, and where it stops fitting.

Data room a search fund uses to send an acquisition (definition). The room that gets the CIM, QoE, model, step-up math and investment memo to each search investor under NDA, shows who read what, and keeps one investor’s questions away from the next, for the length of exclusivity rather than a year.

Email and a Drive or Dropbox folder win a traditional five-investor step-up. DocSend wins the memo. A traditional VDR wins when counsel expects one. The seller’s banker usually hosts the sell-side room on Datasite or Firmex; the searcher diligences there and raises from a lighter room of its own.

How we tested

We read each vendor’s own pricing or product page on 2026-10-10. A published number is quoted as published. Quote-only stays quote-only. We did not invent a price and we did not score vendors against ourselves. If a vendor moves a figure after that date, believe their page.

This page is which room for the searcher’s investor send. What goes in that room is what should be in a search fund step-up package. An independent sponsor raising deal equity is the best data room for an independent sponsor. Whether to leave DocSend at all is should an independent sponsor use DocSend or a data room. A $0 answer is is there a free data room for fundraising.

What the room has to do for this send

Hide who else was invited. A June 2024 Searchfunder thread is the field complaint: Dropbox shows the collaborator list to everyone in the folder, and members can invite others. Existing search investors already know each other; new investors for the equity gap should not see the rest of the list.

NDA at the door. Search investors sign before the CIM opens. Check the seller’s NDA first: financing sources are often not permitted “Representatives” without the seller’s written consent. Have deal counsel review.

Download control and a watermark. The QoE is the file that gets forwarded. The same Searchfunder thread asked for view-only on seller-sensitive files, with a watermark enough as the trace.

Per-investor read logs. Who opened the QoE, the model and the step-up math, and for how long. That is the signal before the investor vote.

Billing that ends with exclusivity. One live acquisition, then nothing until the next LOI. An annual seat plan bills the gap. What goes in the room is the search fund step-up package.

One three-month raise, on published numbers

One acquisition, about three months from the LOI to funding. Only published figures are multiplied, at each vendor’s month-to-month or shortest-term price. A quote stays a quote.

What a data room will not do

No room on this list forms the SPV, takes subscription documents, calls capital, moves the wire or issues K-1s. That is an investor portal such as Juniper Square, Carta, AngelList or Sydecar. Who may be offered the deal, and how, is a question for deal counsel, not a data room vendor.

Where a flat company room fits

A company-priced room is one line for every deal. Cashpian Standard is $100 / mo per company, or $1,000 / yr, with unlimited rooms, viewers and documents and no seats. See pricing.

Each search investor or investor group gets its own audience, with only the folders it is allowed to see. Its Q&A threads and Ask answers stay inside that audience. The NDA is signed at the door, with a certificate per signer. Watermarks on preview and download, per-file download control and per-investor page logs show who is actually working the QoE.

The rows the others win stay theirs: Drive and Dropbox for a five-investor traditional step-up; DocSend’s agreements and data room groupson a link investors already know; Firmex’s Q&A setup optionsand iDeals’ Q&A rolesfor a counsel who expects a traditional VDR. Cashpian has no SOC 2 report, is not the seller’s sell-side room, and does not touch subscriptions or money. See What is Cashpian?

FAQ

Is email enough for a traditional search-fund step-up?

Yes, for about five existing search investors and a memo.

It breaks when a second investor forwards the QoE, or when a new investor for the equity gap should not see who else is in.

Have deal counsel review the seller's NDA before the CIM leaves the searcher.

Can search investors see who else was invited to the folder?

On Dropbox, the collaborator list is visible to everyone in the folder.

That is the usual reason searchers leave it (Searchfunder, June 2024).

A data room with per-investor groups hides who else was invited.

Is Datasite or iDeals the room for sending the deal to investors?

Rarely for the searcher's own send.

Both are quote-only traditional VDRs sized for a sell-side process.

The searcher usually diligences in the seller's room and raises from a lighter one.

Does the data room handle subscriptions and wires?

No. A data room shares the deal; it does not close the money.

SPV formation, subscription documents, capital calls and K-1s sit in an investor portal such as Juniper Square, Carta, AngelList or Sydecar.

Offering rules belong with deal counsel.
