Should an independent sponsor use DocSend or a data room?
Use DocSend for the teaser and CIM. Family offices already know the link, and Standard is $45/user/month.
Switch to a data room when the quality of earnings, the model, and more than one co-investor are in the same files.
Google Drive is fine until the second investor forwards the QoE.
Teaser vs packet (definition). DocSend is a tracked file. A data room is an indexed folder tree with split access and an audit trail.
They are sequential, not substitutes.
Leaving DocSend too early wastes setup. Staying on Drive through confirmatory diligence is how the quality of earnings leaks.
The teaser, then the packet
Stay on DocSend while the job is one file. Their product is built for that: a tracked link, who opened which page, a link you can revoke. Family offices already know the viewer. See DocSend. That is the teaser and the CIM.
Leave when the folder tree exists: quality of earnings, model, sources and uses, and more than one co-investor, with different access for different people, and a log of who opened which file. How to stage that share is how an independent sponsor should share a deal with co-investors. What goes in the folder is what should be in an independent sponsor deal package.
Which tool for which job
Each row has a winner. A table that pretends otherwise is not useful.
| Job | DocSend | Drive | dedicated room | who wins |
|---|---|---|---|---|
| Send the teaser or CIM and see who opened which page | Tracked pages. Revoke the link. | No per-page log. | Overkill for one file. | DocSend |
| One trusted family office, view-only folder | Paid seats for a handful of files. | View-only folder. $0. | Setup you do not need yet. | Drive (view-only) |
| Open QoE, model, and more than one co-investor | Spaces start on Advanced, not Standard. | Viewer links get copied. The second office forwards the QoE. | Indexed tree, one audience per investor, fenced Q&A. Cashpian is one example. | dedicated room |
| Watermark every page to the named viewer | Advanced and above, not Standard. | None. | Yes. | DocSend Advanced+ or a dedicated room |
| Keep Fund A's questions off Fund B's thread | Group permissions on Advanced Data Rooms ($180/month). | Anyone with the link. | One audience per investor. Q&A and Ask are fenced. | dedicated room |
See What is Cashpian? for the company. This page is the teaser-versus-packet split, not a best-of.
When Drive is still right
A view-only Google Drive folder is the honest answer until a second co-investor is in the quality of earnings. One trusted family office already has the account. Drive is not the room for a round of capital partners. The catch is the product: no watermark, no per-viewer log, and anyone with the Viewer link can copy it.
Drive wins that row. Do not buy a room to impress one office that already has the folder. Staying on Drive through confirmatory diligence is how the quality of earnings leaks.
Datasite is not the independent sponsor answer
Datasite, Intralinks, Firmex, and SecureDocs win once a banker is running the seller’s process. That is the room the independent sponsor diligences in. It is not the room the independent sponsor sends to co-investors. See Datasite Diligence. Do not rent a banker VDR for a lower-middle-market raise.
DocSend Standard is $45/user/month for file tracking and unlimited visitors. Watermark, NDA gating, and lightweight Spaces start on Advanced at $150/month for 3 users. Advanced Data Rooms is $180/month for the same 3 users (group permissions, audit log). Figures from DocSend pricing, retrieved 2026-10-01. Stay on Standard while the job is one file.

Switch when you need a watermark, a per-investor log, or fenced Q&A.
Do family offices refuse a link that is not DocSend?
No. They do not refuse a non-DocSend link.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
