How to sell my insurance agency?
Sell an independent insurance agency in stages: a de-identified teaser, NDA then the book, competing bids from aggregators or a PE-backed platform, a letter of intent, then confirmatory named accounts.
A specialist M&A advisor runs the valuation and the buyer list. If that advisor already provides a room, use it. Have counsel review. This page is not a template.
Staged insurance-agency sale (definition). A de-identified teaser before the NDA.
The book and the room under the NDA.
Competing bids, then a letter of intent. Named confirmatory accounts after the LOI.
A Drive dump of the AMS export is not this sale.
Stages, not one inbound call
MarshBerry’s note on managing and selling an insurance agency (Phil Trem, 15 June 2023, retrieved 2026-10-13) tells owners not to react to one inbound call. A specialist advisor runs a competitive process. Milly Books’ seller’s guide to selling the entire agency (Adam Bowe, 21 July 2025, retrieved 2026-10-13) stages that process as a blind teaser, an indication of interest, then a letter of intent that grants exclusivity. From the start of marketing to close, that guide puts six to nine months; preparation starts twelve to twenty-four months earlier. What belongs in the folders is what documents a buyer needs to acquire an insurance agency. How access moves from a first look to exclusivity is how an M&A advisor stages data-room access from IOI to LOI.
| Gate | What opens | Who sees it | What stays closed |
|---|---|---|---|
| Before the NDA | A de-identified teaser: revenue by line and by carrier, retention, policy count, geography bands | A curated list of aggregators, PE-backed platforms, and local agencies | Names, addresses, policy numbers, unredacted AMS rows |
| NDA, first look | CIM, commission statements, an ID-swapped policy export, carrier mix | Every bidder who has signed the NDA | Named accounts, and a raw AMS dump |
| Indicative bids | The same package, one bid date | Every NDA'd bidder | A second data tape emailed to a favourite |
| LOI and confirmatory | A sampled set of named accounts, carrier contracts, producer non-competes, E&O, trust-account statements | The exclusive bidder, and advisors under the NDA | Other bidders' Q&A, and a second room in parallel if an advisor already runs one |
Buyers price commission revenue and EBITDA, not written premium. Named policyholders wait for confirmatory diligence. How to share the book without names is how to share an insurance book of business with buyers without client names.
Agency versus the book
A book sale transfers policies and expirations into another agency. A full-agency sale transfers the operating company: staff, brand, and infrastructure. Milly Books (21 July 2025) prices a full agency on EBITDA, not a revenue multiple of commissions, and treats most small-to-mid-sized deals as asset sales unless counsel models a stock sale. Have counsel review. OPTIS Partners counted 695 insurance-agency mergers and acquisitions in 2025, down 12 percent from 2024 (Insurance Business, 23 January 2026, retrieved 2026-10-13). Property and casualty sellers were 455 of those deals, 66 percent. PE-backed and hybrid buyers accounted for 73 percent. Unique buyers fell to 95 from 104. A specialist advisor, not a public listing, maps which of those buyers fit this book.
Who runs valuation and the buyer list
A specialist agency M&A advisor wins valuation, the buyer list, and running the process. MarshBerry’s September 2026 M&A note (Phil Trem, 21 September 2026, retrieved 2026-10-13) names organic growth as the biggest valuation differentiator. That firm also counted 300 U.S. brokerage transactions through June 2026. A data-room vendor does not find buyers and does not price the book. If the advisor already provides a room, use it. Which room, when the advisor does not, is the best data room for selling an insurance agency.
| Job | Who wins it | What they do not do |
|---|---|---|
| Valuation, buyer list, running the process | A specialist agency M&A advisor | They are not the room. |
| Carrier consent and expirations | Counsel, reading each appointment contract | A room vendor does not transfer appointments. |
| Sharing the book without names | The seller, in stages: aggregates, then an ID-swapped export, then confirmatory names | A Drive dump of named AMS rows. |
| One audience per bidder | The advisor's room if they provide one; otherwise a gated room | Email plus Dropbox. |
Several aggregators bidding stay in their own lane: one audience per bidder, Q&A private to that audience. How to keep competing buyers out of each other’s questions is how to keep buyers from seeing each other’s questions in a data room. Reply-all on a process email is how the wall fails.
Carrier appointments, then named accounts
PIA Northeast’s legal checklist for insurance-agency buyers (25 September 2026, retrieved 2026-10-13) says ownership of expirations and customer relationships may vary by carrier contract, and that some agreements restrict transfer or require approval. Confirm consent, a new appointment, and licenses as of closing. Producer agreements and non-competes, E&O history, and premium trust sit in the confirmatory folder, not the teaser. Reviews of customer files wait for a confidentiality agreement. Have counsel review. This page is not a template. See What is Cashpian?, and pricing.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
