How to keep buyers from seeing each other’s questions in a data room?

Keep competing buyers out of each other’s questions by putting each bidder in its own question group, leaving share-all-answers off, and keeping reply-all email out of Q&A.

A published answer should reach only the bidder who asked. Reply-all on a process email is how the wall fails.

Q&A isolation (definition). One question group per bidder.

Threads stay private until the sell-side publishes.

A published answer reaches only that bidder’s group.

Email is not this wall.

How the wall is built

Firmex’s own Q&A optionsinclude a checkbox: “By default, share all answers with all Question groups.” Leave it off. If it is on, every published answer goes to every bidder and carries a Public label. iDeals documents five routing roles - question drafter, question submitter, answer coordinator, expert, and answer approver - and bidder confidentiality unless you turn it off. Staging the files those questions point at is how an M&A advisor should stage data room access from IOI to LOI. What belongs in the index is what should be in a sell-side data room index.

What Firmex and iDeals win, and what they do not

Firmex and iDeals win the routing-role job: coordinator, expert, approver. A boutique sell-side that needs that workflow should stay on those products. See Firmex Q&A setup and iDeals Q&A roles. A published-price room can still isolate bidders without those roles: one audience per bidder, a thread private until the M&A advisor publishes, and a published answer that reaches only that audience. Document requests are never published. Cashpian is one example of that shape. It does not have coordinator, expert, or approver routing.

FAQ

What is "share all answers with all Question groups"?

A Firmex checkbox.

Leave it off.

If it is on, every published answer goes to every bidder, labelled Public.

Can I run Q&A on email?

No.

Reply-all is how competing buyers see each other.

Put questions in the room, one group per bidder.

Does publishing an answer show the asker's name to other buyers?

In a dedicated room the other bidders should not see the thread at all.

Firmex can share the answer as Public while hiding who asked.

That still leaks the substance.

Does a published-price room route questions to experts and approvers?

Firmex and iDeals win that routing-role job.

On Cashpian the sell-side M&A advisor answers and publishes.

There is no coordinator, expert, or approver role.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
