Which add-backs hold, which to concede

A Neumann & Associates’ add-backs buyers accept (Karin Neumann, 27 May 2026, retrieved 2026-10-02) rates owner salary, owner medical and disability if documented in the general ledger, depreciation and amortization, and interest as high acceptance. Cash and undocumented expenses are not accepted. Hypothetical “avoidable” savings, such as an employee the owner claims was not needed, are not accepted. Ascent CFO’s which EBITDA add-backs a buyer will actually accept (9 September 2026, retrieved 2026-10-02) says buyers accept genuinely one-time costs, above-market owner pay, documented personal expenses, and non-operating items when each line is documented, and that one indefensible line makes the buyer distrust the rest of the schedule. CLA’s sell-side quality of earnings note (Craig Arends, retrieved 2026-10-02) says the best response when an issue surfaces is to own it, quantify the impact, and propose a solution. Ask your CPA. How to share the report is how to share a quality of earnings report with a buyer. What sits next to it is what supporting documents go with a sell-side quality of earnings report.

Answer in the room, private to each bidder

Keep Q&A in the room: one audience per bidder, and a published answer reaches only that bidder. How to keep competing buyers out of each other’s questions is how to keep buyers from seeing each other’s questions in a data room. Reply-all on a process email is how the wall fails. BD Emerson’s quality of earnings page (retrieved 2026-10-02) keeps the firm on the file after delivery to answer the other side’s questions. The CPA who wrote the report joins this owner’s workspace as an Admin teammate. Only the owner can grant Admin. An Admin can upload and build rooms but cannot open billing or delete the workspace. A Member is read-only. Cashpian is one workspace per login. The months before the report exists, with a fractional CFO as a teammate, are how to work with a fractional CFO to get a company ready for a sale.
