How do business brokers get buyers to sign an NDA before the CIM?
Business brokers get buyers to sign an NDA before the CIM by putting a blind listing or teaser out first and keeping the CIM behind the signature: BizBuySell’s confidentiality agreement, an e-sign link from the broker’s CRM, or a data room that asks for the signature at the door.
Most brokers also ask for a buyer profile, and sometimes proof of funds, before the CIM goes out. The NDA is the legal gate. The profile is the practical one. A signed NDA is not proof the buyer can close.
NDA-before-CIM gate (definition). The buyer signs a confidentiality agreement before the CIM or CBR opens.
A teaser or blind listing comes first.
A signed NDA is the legal gate, not proof the buyer can close.
Emailing the CIM as an attachment is not this gate.
Teaser, NDA, screen, then CIM
Morgan & Westfield’s M&A non-disclosure agreements guide and process for screening buyers put the teaser first, then the NDA and a buyer profile, then the broker’s review, then the CIM. IBBA’s integrated deal platform note (15 September 2026) says a prospect might see a blind profile and teaser before signing an NDA, then the full CIM once qualified. What opens after that signature is what a business broker should give a buyer after the NDA. Who actually read the CIM is how a business broker can tell which buyers read the CIM.
| Gate | What the buyer sees | What stays closed |
|---|---|---|
| Blind listing / teaser | Asking price, SDE, location band, industry. No name. | CIM, recast, tax returns, lease, named customers |
| NDA / confidentiality agreement | The broker's CA, signed online, often with a buyer profile | The CIM, until the broker has read the profile |
| The broker screens the buyer | A call; proof of funds or a lender letter if the broker asks | The CIM, for a buyer who does not fit. The NDA is not this screen. |
| CIM / CBR | The book of the listing, plus summary financials | Tax returns and named customers until an accepted LOI |
Who actually runs the NDA
Brokers already have three working doors. Deal Studio merged with DealBuilder in November 2024; the live Deal Studio guide still has the broker qualify the buyer, then Give Presentation Access for the CIM. Cashpian does not collect a buyer profile or proof of funds; that step stays in the broker’s CRM or intake form. Its share link can land each joiner in an approval queue: the broker approves the person, then they sign the NDA at the door, before any file opens. Paste your own NDA text. Have counsel review it. This page is not a template.
| Job | Who wins | Why |
|---|---|---|
| Marketplace confidentiality on inquiry | BizBuySell | The listing portal that produces the leads. Its inquiry flow carries a confidentiality agreement. |
| Lead to NDA to CIM in one CRM | Deal Studio / DealBuilder | Inquiry, an e-signed NDA, the broker qualifies, then Give Presentation Access opens the CIM. |
| One serious buyer, files already in Drive | A view-only Drive folder plus a signed NDA | Fine for one buyer. No gate on the folder, no page log for outside viewers. |
| Signature at the door of a dedicated room | A published-price room with an NDA before any file opens | The broker pastes their own NDA. Approve the person, then they sign. One agreement per room. |

FAQ
Does a signed NDA prove the buyer can close?
No.
An NDA protects information.
It does not prove a buyer can close.
Brokers still screen for identity, fit, and proof of funds.
Have counsel review the NDA text.
Does the broker screen the buyer before or after the NDA?
Either, and often both.
Many brokers take the NDA and a buyer profile together, then decide on the CIM.
Some qualify on a first call first.
In a Cashpian room, the broker approves the person, then they sign at the door.
Is Google Drive plus a signed NDA enough?
For one serious buyer, yes.
Drive has no NDA gate and no page log for outside viewers.
Once several buyers are reading at once, a room with the NDA at the door, or a broker CRM, is worth paying for.
Does a dedicated room collect a buyer profile or proof of funds?
Cashpian does not.
Broker CRMs such as Deal Studio handle that step.
Paste your own NDA text into the room.

If the files are already in a folder, grade which row they are on. Cashpian is a gated room for that packet. It is not a listing portal. It does not sell the company or run the deal.
