Business brokersCIM reads

How can a business broker tell which buyers read the CIM?

A business broker tells which buyers read the CIM from per-buyer page logs: which documents, time on page, re-opens, and downloads, plus the email when a buyer first opens the room.

Time on page is a clue, not proof. A tab left open counts. A download stops the clock. Informed questions are the real tell.

CIM read log (definition). Per-buyer records of which documents opened, time on page, re-opens, and downloads.

Time on page is a clue, not proof.

Informed questions are the real tell.

A forwarded PDF is not this log.

What the log shows, and what it does not

IBBA (15 September 2026) says engagement analytics turn a CIM into a source of intelligence: which buyers opened the material, which stalled, which never opened it. DocSend’s analytics post sells page-by-page time as the way to spot serious buyers. That is a vendor claim, and a tab left open still counts. How the NDA was collected is how business brokers get buyers to sign an NDA before the CIM. What sat behind that NDA is what a business broker should give a buyer after the NDA.

SignalWhat it showsWhat it does not prove
First-open emailThe named buyer crossed the door. That they read a page. The email fires on first open of the room.
Which documentsThe CIM opened. The recast did or did not. That they understood SDE.
Time on pageHow long that page was in view.Attention. A tab left open counts. A download stops the clock.
Re-opensThey came back. That the second visit was a careful reread.
DownloadsA copy left the room.Time on page after that. The clock often stops.
Informed questionsThey read enough to ask about an add-back, the lease, or FF&E.Nothing. This is the tell the log cannot fake.

Who actually keeps the log

Deal Studio’s guidelogs what was downloaded and when, and tells the broker to grant data-room access themselves. Orangedox and Papermark publish page-time analytics on their pricing pages. A dedicated room can keep a per-buyer engagement log and email the broker on first open. In a Cashpian room the log is per named recipient: documents, pages, time on page, re-opens and downloads. A buyer’s Q&A stays private to that buyer unless the broker publishes it. Nothing in the room can see a copy once it has been downloaded and forwarded.

FAQ

Does a long time on the CIM mean the buyer is serious?

No.

A tab left open counts.

A download stops the clock.

Informed questions are the real tell.

Time on page is a clue, not proof.

What if the buyer downloaded the CIM?

The download is logged.

Time on page often stops.

If you want time-on-page, hold the download until diligence.

Deal Studio's guide gives brokers the same advice.

Can I see who forwarded the CIM?

Not once a PDF has left the room.

A dedicated room logs each named recipient, so an unknown reader shows up only if they open the room under their own invite.

A watermark with the buyer's name is what traces a forwarded copy.

Should I allow CIM downloads before diligence?

If the job is time-on-page, hold the download.

If the buyer needs the file for a lender, allow it and read the download log.

Watermark both.

The log, not the clock

Read the per-buyer log. Do not treat time on page as proof.
